Trethowans advises on Digits Industries acquisition
Trethowans successfully acted on behalf of Digits Industries in its sale to CIPHR, a leading UK provider of HR, payroll and recruitment services.
The deal, which represents an amalgamation of talent and expertise, completed on 15 September 2020.
Digits, located in Fareham, Hampshire, provides online learning solutions, and partnered with Marlow-based CIPHR in 2018. This proved to be a recipe for success, with the two companies swiftly attracting over 20 mutual customers, so they decided to make the partnership permanent.
Digits appointed Trethowans to handle its subsequent acquisition by CIPHR in March 2020.
Led by corporate partner Lucy Gleisner and assisted by property, employment and regulatory lawyers from across the firm to advise on various aspects of the deal, Trethowans provided a fully joined-up and comprehensive service.
“Lucy and her corporate team were highly efficient, responsive and thorough, providing commercially focussed, pragmatic advice and excellent communication, whilst overcoming the challenges posed by the lockdown and Covid-19 pandemic” said Colin Bull, Managing Director at Digits. “Because of the firm’s cross-sector expertise, we were able to obtain all the legal services we needed from Trethowans, within a tight timescale. They were an absolute pleasure to work with.”
Trethowans’ team steered Digits adeptly through the transaction’s complexities.
Lucy Gleisner, added: “The synergy between CIPHR and Digits is exceptional, they are a natural fit so we are delighted to announce the completion of this deal and offer our warmest congratulations to all involved. I would also like to thank our team members, who have all worked extremely hard to bring it to fruition.
“Despite the challenges caused by the pandemic, we continue to be active with existing transactions, as well as new instructions from the region. With government budget changes to capital gains tax and entrepreneurs’ relief rumoured, but now pushed back to Spring, we anticipate the next few months will be equally busy.”
